Machined.ai | Terms and Conditions (Affiliate Program)

Introduction

These terms (the "Terms") are a legal agreement between Sibu Ventures Ltd ("we", "us", "our", "Machined.ai") and you (the "Affiliate", "you"). They govern your participation in the Machined.ai Affiliate Program (the "Program"). Please read them carefully before you sign up.

These Terms replace our terms of 16th November 2025. From 17th November 2026 they apply to every affiliate, including to Commission on payments made from that date by Customers you referred before it.

Sibu Ventures Ltd is a company registered in England and Wales (company number 14958943). Registered office: Suite A, 82 James Carter Road, Mildenhall, IP28 7DE, United Kingdom.

Definitions

"Affiliate Portal": the website, run by our affiliate provider Tolt, where you sign up, get your Affiliate Link and track your referrals and commissions.
"Affiliate Link": the tracking link you get through the Affiliate Portal, which you can personalize.
"Customer": someone you referred who pays for a Machined.ai plan.
"Commission": what you earn on a Customer's payments, as set out under Commission below.
"Machined.ai Products": the Machined.ai software and any other products or services we offer.
"Machined.ai Content": the text, images, video, software and other material we make available through our website and the Machined.ai Products.

About the Program

The Program is for marketers, creators and influencers who promote Machined.ai to their own audience through their own channels.

Commission

You earn a share of every plan payment a Customer makes in the 12 months after their first payment, monthly or annual. Credit top-ups and other one-off purchases don't earn Commission.
Your rate is 30% as standard. At our discretion, we may set a different rate, for example 20% for directories and listing sites, or 40% for large influencers. Your rate is shown in the Affiliate Portal.
Commission on payments made in a calendar month becomes payable 30 days after that month ends. For example, Commission on payments in March becomes payable at the end of April. The wait allows for refunds.
We pay once a month, in US dollars, by PayPal or Wise, whichever you choose, once your payable balance reaches $25. Below that, it carries over to the next month.
No Commission is earned or paid on refunded or disputed payments. If a refund or dispute happens after we've paid you, we deduct it from future payouts until your balance is no longer negative.
We may change your rate, or any of these figures, at any time and for any reason. We'll email you before a change takes effect, and a change never affects Commission you've already earned.

How referrals are tracked

Your reports in the Affiliate Portal show these stages:

Clicks: visitors who arrive through your Affiliate Link and agree to the referral cookie. Those who say no aren't counted.
Leads: the Affiliate Portal has a Leads column, but we don't currently record leads, so it shows 0. This doesn't affect what you earn: a referral is credited when they pay.
Customers: people you referred who have paid. You earn Commission on their payments.

A referral is credited through a cookie. When someone arrives through your Affiliate Link, our website asks whether they agree to it, and the cookie is set only if they do. We have to ask: the cookie isn't needed for our website to work, so the law (PECR in the UK, and the ePrivacy rules in the EU) requires their agreement first.

The cookie lasts 30 days, and they need to sign up within that time, using the same browser. If they decline the cookie, block or clear it, sign up on a different device or browser, or sign up after it expires, we can't link them to you, and the referral won't be credited. Once someone becomes your Customer, they stay linked to you, and their later payments count even after the cookie expires.

Participation rules

By taking part in the Program, you agree to these rules. If you break them, we may ban your account permanently, and you'll lose any Commission you've earned.

No self-referrals. Don't sign up through your own Affiliate Link, or refer yourself, companies you're connected to, or your coworkers.
No paid advertising. Don't run paid ads of any kind, on branded keywords or not, including ads that send people to your own page promoting Machined.ai. This includes search ads, social media ads and ads on any other channel.
No directories or discount sites. Don't post your Affiliate Link on directories or discount sites, unless you own the site and we've given you written permission.
Don't hide your Affiliate Link. Don't use link shorteners, redirects, iframes or other cloaking. Where a platform shortens links automatically (such as X), make it clear the link is an affiliate link.
Don't mislead anyone. Don't post fake discounts, promise features Machined.ai doesn't have, or mislead, manipulate or defraud us or anyone you refer.
Don't pretend to act for us. Don't claim to be an employee, agent, partner or representative of Machined.ai.
Tell us where you promote. If we ask, tell us every website and channel where you use your Affiliate Link.
Make sure you can take part. You confirm that you have the rights and permissions you need to take part in the Program, including the right to let us use your name and logo, and that taking part doesn't break any other agreement you have.
Follow the law. Make it clear you're a Machined.ai affiliate wherever you share your Affiliate Link, as advertising rules require (for example, the FTC's endorsement guides in the US and the CAP Code, which the ASA enforces, in the UK). Don't use cookie stuffing, pop-ups, bought or scraped contact lists, bots, or incentives to get people to sign up.
Respect opt-outs. Act promptly on every unsubscribe, opt-out, "do not call" and "do not send" request, and have a process in place that makes sure you do.
Don't try to identify your referrals. Don't use the masked email addresses in the Affiliate Portal to work out who someone is, or to contact them.

If we suspect a breach of these Terms, we may end your participation immediately, and hold back unpaid Commission while we investigate.

Non-exclusivity

This agreement isn't exclusive. You and we are both free to work with others, including on similar products.

Our trademarks and content

You may use the Machined.ai name and logo only to promote Machined.ai through the Program, and only in the versions we provide. Don't alter them, use them in a misleading or disparaging way, suggest we endorse your own products, or use them next to unlawful or offensive material. Stop using them straight away if we ask, or when you leave the Program.

The Machined.ai Products and Machined.ai Content belong to us or our licensors. These Terms don't give you a license to our software. Don't copy, sell, distribute or make derivative works from them, except to promote Machined.ai through the Program as described here, or as we agree in writing.

You let us mention you as a Machined.ai affiliate, and use your name and logo, free of charge, in connection with the Program.

Your data and your referrals' data

We are the controller of the personal data we collect about you and about the people you refer. Tolt runs the Affiliate Portal for us as our processor. Our Affiliate Privacy Policy explains what we collect, why, how long we keep it and your rights.

You're responsible for any personal data you collect yourself while promoting Machined.ai, for example through your own newsletter or website.

Indemnity

You'll cover the losses and costs of us, and of our directors, employees and agents, if someone else brings a claim against any of us because of:

your participation in the Program,
your breach of these Terms, or
our use of your name or logo as allowed above.

We'll tell you about any such claim within 30 days of becoming aware of it. You'll control the defense, but we can take part with our own lawyer at our cost, and take it over if you don't defend the claim promptly. We'll give you reasonable help with the defense, at your cost. You won't settle a claim in a way that puts obligations, restrictions or liability on us, or requires us to admit anything, without our written agreement.

Disclaimers and liability

The Affiliate Portal, the Machined.ai Products, the Machined.ai Content and the Program are provided "as is". We don't promise they'll always be available or error-free and, as far as the law allows, we exclude all implied terms and warranties, including about quality, fitness for a particular purpose and non-infringement.
Neither of us is liable to the other for indirect or consequential losses, including lost profits or business opportunities.
Our total liability to you under these Terms is limited to the Commission you actually earned in the 12 months before the event that led to the claim.
Nothing in these Terms limits liability that can't be limited by law, such as liability for fraud.

Ending the agreement

These Terms apply while you take part in the Program. Either of us can end the agreement at any time. To leave the Program, email affiliates@machined.ai. When the agreement ends, you stop earning Commission. Unless we ended it because you broke these Terms, we'll pay the Commission you'd earned up to that date once it becomes payable, as described under Commission, even if it's below $25.

Changes to these Terms

We may update these Terms from time to time. We'll email you before a change takes effect, and update the date at the top. If you keep taking part in the Program after that, you accept the updated Terms. If you don't agree with a change, you can leave the Program at any time.

Governing law

These Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute about them.
